1. Acceptance
By accessing or using Prae-Tech websites, services, platforms, portals, or communications, you agree to these Terms. If you do not agree, do not use the services.
2. Business-to-Business Services
Prae-Tech provides services primarily to businesses, organizations, and government entities. Users represent that they are authorized to act on behalf of the organization they represent.
3. Eligibility
You must:
- Be at least 18 years of age
- Possess legal authority to bind your organization
- Use services for lawful purposes

- Cybersecurity services
- Security consulting
- vCISO services
- Technology advisory services
- Cloud services
- Security assessments
- Compliance consulting
5. Acceptable Use
Users shall not:
- Violate laws
- Interfere with services
- Introduce malware
- Attempt unauthorized access
- Conduct denial-of-service attacks
- Infringe intellectual property rights
- Misrepresent affiliations
6. Intellectual Property
All content, branding, designs, materials, methodologies, documentation, and trademarks remain property of Prae-Tech unless otherwise agreed in writing.
7. Customer Responsibilities
Customers remain responsible for data accuracy, system access approvals, compliance obligations, user management, security decisions, and risk acceptance decisions.
8. No Legal Advice
Prae-Tech provides business and technology consulting. Prae-Tech does not provide legal advice, accounting advice, or regulatory opinions.
9. Disclaimers
Services are provided on an "as is" and "as available" basis. Prae-Tech does not guarantee continuous availability, compatibility, regulatory compliance, audit success, or prevention of cyber incidents.
10. Limitation of Liability
To the maximum extent permitted by law, Prae-Tech shall not be liable for indirect damages, incidental damages, consequential damages, loss of profits, loss of data, or business interruption.
Total liability shall not exceed amounts paid by the customer during the twelve (12) months preceding the claim.
11. Indemnification
Customer agrees to defend, indemnify, and hold harmless Prae-Tech from claims arising from customer misuse, customer negligence, violation of law, or breach of these Terms.
12. Third-Party Services
Prae-Tech may utilize third-party providers. Prae-Tech is not responsible for third-party services, interruptions, or actions outside Prae-Tech's control.
13. Confidentiality
Both parties agree to protect confidential information disclosed during the relationship.
14. Force Majeure
Neither party shall be liable for failures caused by events beyond reasonable control.
15. Termination
Prae-Tech may suspend or terminate access where Terms are violated, fraud is suspected, security risks arise, or action is required by law.
16. Governing Law
Unless otherwise specified in a written agreement, Michigan, United States law governs these Terms. Venue shall be the state or federal courts located in Kent County, Michigan.
17. Dispute Resolution
The parties shall attempt good-faith resolution before litigation.
18. Export Control
Users agree to comply with applicable U.S., Canadian, and Mexican export laws.
19. Entire Agreement
These Terms, together with any applicable agreements, constitute the entire agreement between the parties.
